Compulsory Acquisition
Following the off-market takeover offer made by Beam Dental Bidco Pty Ltd (Bidco) for all ordinary shares in Pacific Smiles Group Limited (PSQ) that it did not already own, Bidco has now exercised its rights under the Corporations Act 2001 (Cth) to compulsorily acquire all remaining PSQ shares.
Bidco acquired a relevant interest in more than 90% of Pacific Smiles shares, and more than 75% of the shares offered to be acquired under the takeover offer. Accordingly, Bidco commenced compulsory acquisition under Part 6A.1 of the Corporations Act.
The compulsory acquisition will occur on the same terms as the takeover offer, with consideration of A$2.20 per Pacific Smiles share.
Offer Close & Acceptance
Shareholders who have not yet accepted the offer may still do so until 7:00pm (Sydney time), 17 November 2025.
Acceptances received before the close will be processed sooner than compulsory acquisition proceeds.
Process & Payment
Once the compulsory acquisition process completes, Bidco will pay the total consideration for the compulsorily acquired Pacific Smiles shares to Pacific Smiles, which will hold the funds on bare trust for the relevant shareholders.
Shareholders whose shares are compulsorily acquired will be sent a Claim Form with instructions on how to receive their cash consideration.
Completion of the compulsory acquisition process may take up to six weeks.
How to Claim
A Cash Consideration Claim Form will be sent to all shareholders whose shares are being compulsorily acquired. Instructions will be provided on how to lodge the form and receive payment.
